STAMP terms of service

Effective date: 1 October 2026

These terms are between Clocktower Software Limited ("we", "us") and the business that creates a STAMP account ("customer", "you"). STAMP is a time, attendance and timesheet service used by your workers and managers. The person accepting these terms confirms that they can bind the customer. Workers use STAMP under their employer's account and workplace policies; they do not become separate paying customers by using the app.

1. The service and your responsibilities

We will provide STAMP with reasonable care and skill. STAMP records and presents information entered by users or captured when they clock time. It is not a payroll, legal or employment adviser. You remain responsible for checking timesheets, pay calculations, payroll submissions, employment obligations and the accuracy of information you give us.

You control your account settings, employee access, manager permissions and any clock photo or GPS requirements. You must tell workers how you use STAMP, give any workplace notices required by law, and use photo and location checks fairly. STAMP's photos are supporting evidence for your authorised people to review. STAMP does not automatically match faces or establish a person's identity from a photo.

You must keep account access secure, use STAMP lawfully and not interfere with its operation or other customers' data. Tell us promptly if you suspect unauthorised access. You are responsible for actions taken through accounts you authorise, subject to our own security obligations.

2. Free trial

The trial starts when the account owner signs up. Before you choose a pay schedule, its provisional end is 14 days after signup. Once you confirm a schedule, the trial covers the wait until the next full pay period begins and that pay period, capped at 14 days of that period. A monthly pay schedule therefore gets the first 14 days of its next full period, not a full month. We show the resulting end date in STAMP.

After the trial ends, a seven-day grace period lets workers keep clocking and managers keep approving. If you have not actively agreed to paid billing and completed payment setup by the end of grace, STAMP pauses new clock events, new employees and settings changes. You can still review, correct, approve and export existing records. Adding an agreed payment method restores the paid service.

You do not need a card to start the trial. We do not charge you merely because the trial or grace period ends. Billing begins only after an authorised account owner has accepted the displayed price and billing terms and completed payment setup. If you do that during the trial, paid usage begins when the trial ends. If you do it later, paid usage begins when payment setup completes.

3. Price and billing

The price is NZ$2.00 per billable employee per calendar month plus GST, which is NZ$2.30 including GST at the current 15% rate. An employee is billable for a month if they have an accepted clock event or positive worked-time entry in that month after paid usage starts. We count each employee once across sites and devices. An invitation, an imported worker with no work, leave-only activity and admin-only access do not count. Voided work does not count. Manager-entered work and offline clock events that later sync can count.

The billing month follows the account's fixed organisation time zone. Your first paid month is prorated for the calendar days from the paid start date through that month's end. Later months use the full employee rate for each billable employee, including anyone who joins or leaves during the month. We calculate the month's usage after it ends and invoice it in arrears. Corrections discovered after an invoice is issued are handled through an adjustment or credit, not by silently rewriting the invoice.

You pay by card. When you complete payment setup, you authorise us to charge the saved card automatically for each invoice under these terms. Each invoice shows the amount before GST, the GST and our GST number.

We may change the price with at least 30 days' notice to the account owner. The new price applies from a billing month that starts after the notice period ends. You may cancel before it takes effect.

4. Cancellation and refunds

An account owner may cancel the paid plan at any time in STAMP's billing settings or by contacting us at [email protected]. Access continues until the end of the current calendar month. We invoice the billable usage for that final month after it ends under section 3. Cancellation stops future paid months. There is no cancellation fee or minimum term.

When your final paid month ends, we provide a full export of your account data. For 90 days after that, the account stays available in read-only mode so you can review and export records again. After those 90 days, we delete the account data as described in our privacy policy.

We do not refund fees for a month already used. We will correct duplicate or mistaken charges, and give any refund the law requires.

5. Customer data and privacy

Your business and its workers keep their rights in information entered or captured through STAMP. You permit us to store and process that information to provide and protect the service and to follow lawful instructions from your authorised users. You must have the authority to provide worker information and to direct any payroll integration or export.

Our privacy policy explains how we handle personal information. You decide which authorised staff can view worker records. Workers should normally direct access and correction requests to you first; we will help you respond and will handle any request made directly to us as required by law.

You can export timesheet records as CSV while your account is accessible, including during the 90-day read-only period. You are responsible for keeping the records employment law requires you to hold, such as wage, time and leave records for six years.

6. Integrations and devices

If you connect a payroll provider, you authorise the transfer of the information needed for that connection. You must check the destination and payroll results. A third-party provider's availability, rules and separate terms may affect a connection. We will tell you when we know of a material integration failure that affects your account.

You supply suitable phones, tablets, connectivity and permissions for your chosen clocking setup. An employee who denies a location or camera permission may be unable to complete a clock event when your settings require that evidence. Your business must decide how to handle that situation fairly and lawfully.

7. Availability, support and changes

We aim to keep STAMP available and will use reasonable care to maintain it. Maintenance, network faults and third-party services may interrupt access. We will give reasonable notice of planned interruptions when practicable. We do not guarantee any level of uptime.

For support, email [email protected]. We aim to reply within one business day: Monday to Friday, New Zealand time, excluding public holidays. This is a response target, not a resolution time.

We may improve or change STAMP. If a change materially reduces a paid feature, we will give reasonable advance notice where practicable. We will not use a change clause to remove your accrued rights or charge a new price without the notice in section 3.

8. Suspension and ending these terms

We may suspend access where reasonably necessary to address a security threat, unlawful use or overdue payment. Where practicable, we will tell the account owner what happened and how to restore access. We will keep review and export access available where safe and legally possible. We may end the account for a serious breach that remains unresolved after reasonable notice, or immediately where continuing service would be unlawful or create an urgent security risk.

If we decide to stop providing STAMP, we will give account owners at least 30 days' notice. We will provide a full export of your account data and charge only for usage up to the date the service ends.

When an account closes for any reason, we provide the full data export and 90-day read-only period described in section 4, then delete the account data. We keep invoices and the account owner's billing details for seven years for tax.

9. Responsibility for loss

Each party is responsible for loss it causes through its breach of these terms, subject to New Zealand law. Neither party is responsible for indirect loss, such as lost profits, that it could not reasonably foresee when these terms were agreed.

Each party's total liability under or in connection with these terms is limited to the fees paid or payable by the customer for the 12 months before the event that gave rise to the claim. This limit does not apply to fraud, deliberate misconduct, unpaid fees, misuse of confidential information, or liability that the law does not allow us to limit.

You acquire STAMP for the purposes of a business. The parties agree that the Consumer Guarantees Act 1993 does not apply to these terms or to STAMP, and that it is fair and reasonable for the parties to be bound by this. Nothing in these terms limits rights under the Fair Trading Act 1986 that cannot lawfully be excluded.

10. Notices, disputes and law

We send account notices to the account owner's registered email. You can reach us at [email protected]. If there is a dispute, each side will first give the other a clear description and a reasonable chance to resolve it directly. New Zealand law governs these terms, and New Zealand courts have jurisdiction.

We may update these terms with at least 30 days' notice for material changes. Changes that are required urgently by law or to address a serious security risk may take effect sooner; we will explain them as soon as practicable. Continuing to use a paid plan after the notice takes effect means the new terms apply from that date. You may cancel under section 4 if you do not agree.
